1. Acceptance of Terms

By registering, accessing, or using any PRP Services product or platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a company or organisation, you represent that you have the authority to bind that entity.

2. Service Description

PRP Services provides cloud-based customer communication and engagement tools. Services are provided on a subscription basis (SaaS/CPaaS model) and include access to the platform dashboard, APIs, and associated features. Service availability is subject to our uptime SLA of 99.9% for production environments.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You must not share your account with third parties. You are responsible for all activity that occurs under your account. You must immediately notify us of any unauthorised access at support@prpservicesglobal.com.

4. Acceptable Use Policy

You agree not to use PRP Services to: send unsolicited communications (spam); distribute malware or harmful content; violate any applicable law including TRAI DLT regulations, PDPB (Personal Data Protection Bill), or Meta's WhatsApp Business Policy; impersonate any person or entity; transmit content that is defamatory, abusive, or sexually explicit.

Violation of the Acceptable Use Policy may result in immediate suspension of services without refund.

5. Intellectual Property

All platform code, APIs, documentation, branding, and content are the intellectual property of M/S PRP Services Private Limited. Customers are granted a limited, non-exclusive, non-transferable licence to use the platform for their own business purposes during the subscription period.

6. Payment Terms

Subscription fees are due in advance on the billing date specified in your plan. All prices are exclusive of applicable taxes (GST). Late payments attract an interest charge of 18% per annum. PRP Services reserves the right to suspend access if payment is overdue by more than 7 days.

7. Limitation of Liability

PRP Services shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability in any calendar month shall not exceed the fees paid by you in that month. We are not liable for delivery failures caused by carrier issues, regulatory interventions, or force majeure events.

8. Governing Law

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of New Delhi. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

9. Modifications

PRP Services may modify these Terms at any time. Material changes will be communicated via email 30 days in advance. Continued use of services after the effective date of changes constitutes acceptance.
